• “Seller”: A user who lists a business for sale on our Site.
• “Buyer”: A user who expresses interest in purchasing a business listed on our Site.
• “Listing Service”: Our platform that allows Sellers to list businesses for sale.
• “Managed Service”: Our enhanced service where we assist Sellers in marketing their business and identifying potential Buyers.

3. Seller Terms

3.1 Business Listing Service

• Sellers may list their business on the Site, providing accurate and complete information.
• We are not responsible for the accuracy of the information provided by Sellers.
• Listings may be subject to approval and moderation before publication.

3.2 Managed Service

• Sellers who opt for our Managed Service receive additional support, including AI-driven buyer matching and marketing assistance.
• We do not guarantee the sale of any business, nor do we act as an agent or representative in transactions.
• Fees for the Managed Service are agreed upon separately and are non-refundable.

3.3 Seller Obligations

• Sellers must ensure that all information in their listings is truthful, accurate, and not misleading.
• Sellers must comply with all applicable laws, including data protection and consumer protection regulations.

4. Buyer Terms

• Buyers acknowledge that all information about businesses listed on our Site is provided by Sellers, and we do not verify its accuracy.
• Buyers should conduct their own due diligence before entering any transaction.
• We disclaim any liability for errors, inaccuracies, or misrepresentations in business listings.

5. Fees and Payment

• Certain services on the Site may require payment of fees.
• Fees for Listing Services and Managed Services are outlined on our pricing page or agreed upon separately.
• Payments are non-refundable except where required by law.

6. Limitation of Liability

• To the fullest extent permitted by law, our total liability to any Buyer or Seller for any claims, losses, or damages arising from their use of the Site shall not exceed the total amount of fees paid by that user to us.
• We are not responsible for any indirect, incidental, or consequential damages arising from use of our services.
• We do not guarantee the accuracy of information provided by users, nor do we assume liability for transactions between Buyers and Sellers.

7. User Conduct

• Users must not engage in fraudulent, misleading, or unlawful activities on the Site.
• We reserve the right to suspend or terminate accounts that violate these Terms.

8. Intellectual Property

• All content on the Site, including logos, trademarks, and website design, is our property and may not be copied or reproduced without permission.

9. Dispute Resolution

• We are not a party to any transaction between Buyers and Sellers.
• Any disputes between Buyers and Sellers must be resolved independently, and we bear no responsibility for such disputes.

10. Termination

• We reserve the right to terminate or suspend access to our Site for any user who breaches these Terms.

11. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
